Merchant Services Fleet Liquidation – Absolute Online-Only Auction

AUCTION TERMS & CONDITIONS

The following Terms and Conditions apply to the Merchant Services Fleet Liquidation Auction located at 621 W. 8th St., Little Rock, AR 72201. To participate in this auction, bidders must read and accept all Terms and Conditions set forth below.

AUCTION FORMAT

This is an absolute online-only auction. All auction lots will be sold to the highest bidder regardless of price.

Bidding Opens: Wednesday, August 19, 2026, at 10:00 a.m.

Auction Begins Closing: Thursday, September 10, 2026, at 2:00 p.m.

BUYER’S PREMIUM

A buyer’s premium of ten percent (10%) of the high bid will be added to the bid price to determine the final sales price of each auction lot.

INSPECTION AND PREVIEW

Tuesday, September 8, 2026, from 10:00 a.m. to 2:00 p.m.

All items are sold AS IS, WHERE IS. Bidders are strongly encouraged to attend the scheduled inspection and carefully inspect each item before bidding. It is the bidder’s responsibility to determine the condition, age, authenticity, value, mileage, operability and suitability of each item.

LOAD-OUT AND REMOVAL

Purchases may be removed during the following scheduled load-out periods:

Friday, September 11, 2026: 9:00 a.m.–5:00 p.m.

Saturday, September 12, 2026: 10:00 a.m.–12:00 noon

Monday, September 14, 2026: By appointment only

All accounts must be paid in full before any item may be removed. Buyers must present a paid invoice and government-issued photo identification at the time of removal. No exceptions.

All purchases must be removed during the designated load-out periods. Buyers who require Monday removal must contact the Auction Company in advance to schedule an appointment.

Buyers are solely responsible for providing all labor, tools, equipment, towing and transportation necessary to remove their purchases safely. Auction Company personnel are not responsible for loading, securing or transporting purchases.

Additional storage and administrative fees may be assessed for items not removed during the designated load-out periods.

PAYMENT OPTIONS

Accepted forms of payment are:

• Cash
• Certified funds made payable to Wooley Auctioneers, Inc.
• Wire transfer

The Auction Company will contact successful bidders at the conclusion of the auction to verify the form of payment and provide wire-transfer instructions when necessary.

PAYMENT INSTRUCTIONS

Unpaid invoices will be emailed to successful bidders following the conclusion of the auction. The Auction Company will also contact successful bidders by telephone to verify their intended form of payment.

Wire-transfer instructions will be provided only to successful purchasers. All payments are due immediately following the auction. No exceptions.

INTERNET BIDDING

Wooley Auctioneers, Inc. (“Auction Company”) provides Internet bidding as a service to bidders. Bidder acknowledges and understands that the Internet bidding platform may or may not function correctly during the auction.

Under no circumstances shall a bidder have any claim against the Auction Company, the seller, the Internet bidding platform or any other party as a result of an Internet connection, software or system failure.

The Auction Company is not responsible for missed bids from any source. Bidders who want to ensure that their bids are acknowledged should use the platform’s maximum or proxy bidding feature and submit their maximum bids at least 24 hours before the auction begins closing.

The Auction Company reserves the right to withdraw, divide, combine, group or re-catalog any item or auction lot at its discretion.

PARTICIPATION REQUIREMENTS

To register and receive bidding approval, bidders must provide their name, address, daytime telephone number, email address and a valid credit card.

All bidders must be at least 18 years of age.

BUYER’S CONTRACT

Every bid placed through the Wooley Auctioneers website constitutes a legal and binding offer to purchase. If you are the successful bidder, your bid becomes a binding contract, and you are responsible for paying all amounts due.

Do not bid unless you are able to pay for and remove your purchases during the specified times. Contact the Auction Company before bidding if you anticipate a payment or removal issue.

SHIPPING

The Auction Company does not provide shipping. Buyers are solely responsible for the removal, loading, towing and transportation of all purchased vehicles, trailers, equipment and other items.

FAILURE TO REMOVE PURCHASES

All purchases must be removed from the auction premises during the designated load-out periods.

A buyer who fails to remove a purchase as scheduled may be subject to additional storage and administrative fees, loss of bidding privileges and forfeiture of the purchased item without refund.

Purchases remaining after the final removal period may be considered abandoned unless the buyer has made prior written arrangements with the Auction Company. Please contact the Auction Company immediately if you anticipate a removal problem.

VEHICLE AND TRAILER REMOVAL

Some vehicles and trailers may be non-running, inoperable or otherwise unsuitable for road use. Buyers must review each lot description and provide appropriate towing, hauling or transport equipment when necessary.

The Auction Company does not represent or guarantee that any vehicle or trailer can be driven or towed safely or legally from the auction site. Buyers are responsible for complying with all applicable licensing, registration, insurance, transportation and highway-safety requirements.

TITLES AND DOCUMENTATION

Any title, registration or ownership documentation included with an auction lot will be identified in that lot’s description. Bidders should not assume that a title or other documentation is available unless specifically stated.

Buyers are responsible for all title, registration, transfer, tax and licensing requirements that may apply to their purchases.

CURRENCY

All bids and payments are in United States dollars (USD).

ADDITIONAL TERMS OF SALE

1. YOUR BID IS A CONTRACT TO BUY if you are the successful bidder.
2. All property is sold AS IS, WHERE IS, with all faults and without warranties or guarantees of any kind, expressed or implied.
3. All sales are final. There are no returns, refunds, exchanges, credits or price adjustments.
4. All bidders must be 18 years of age or older.
5. Online auctions move quickly. Bidders are responsible for monitoring the auction and placing their bids in a timely manner.
6. Successful bidders will be notified by email. Failure to receive an email or invoice does not relieve a successful bidder of the responsibility to pay for and remove a purchase.
7. By registering or bidding on any item, the bidder acknowledges that the bidder has read, understands and accepts all auction Terms and Conditions.
8. The Auction Company reserves the right to refuse service, registration or bidding privileges to any person.
9. Announcements and changes posted by the Auction Company before an auction lot closes will take precedence over prior written or verbal statements, advertisements or descriptions.
10. Wooley Auctioneers, Inc. attempts to describe all auction merchandise accurately and to the best of its ability. However, the Auction Company makes no representations or guarantees regarding descriptions, photographs, mileage, hours, serial numbers, VINs, condition, completeness, authenticity, operability or value.
11. Photographs are provided for identification and informational purposes only. Photographs may not show every defect, missing component or condition issue.
12. The Auction Company and seller expressly disclaim all warranties, including any implied warranty of merchantability or fitness for a particular purpose.
13. The Auction Company shall not be responsible for errors or omissions in auction descriptions, catalogs, photographs or other auction materials.
14. Bidder inspection is the sole responsibility of the bidder. Failure to inspect an item does not relieve the successful bidder of the obligation to pay for and remove it.
15. The Auction Company is not responsible for accidents, injuries, theft or damage occurring during inspection or removal. Buyers and their representatives enter the auction premises and remove purchases at their own risk.
16. Any debt-collection action or dispute arising from this auction shall be governed by Arkansas law and heard in Pulaski County, Arkansas.

SOFT-CLOSE EXPLANATION

If an auction lot receives a bid during the final minute of bidding, that lot’s closing time will be extended by one minute from the time the bid is placed.

The closing time will continue to be extended by one minute each time a new bid is received. The lot will not close until one full minute has elapsed without additional bidding activity.

The soft-close process is intended to prevent last-second bid sniping and provide all bidders with a fair opportunity to place their final bids.
