Wooley Auctioneers, Inc., pursuant to the Chapter 7 bankruptcy proceedings of S&H Systems, Inc., will offer additional warehouse automation, conveyor, industrial control and material handling assets in Phase II of this liquidation.

This sale includes an extensive selection of Intralox sortation equipment and conveyor components, Hytrol conveyor systems, industrial automation and electrical components, gearmotors, warehouse storage, and additional facility and shop assets.

FEATURED INVENTORY

  • Bulk lot of remaining Intralox sortation equipment – Lot 999 includes a large package of Intralox equipment offered together for one bid price. Available inventory information lists S4500 bulk sorter diverts, drives, throughputs and idle sections; SLS/SAI merge and side belt modules; side transfer modules; Module Maid assembly sorters; approximately 78 Aux Sorter Intermediate Modules; and additional equipment and components.
  • Intralox Series 4500 and Series 7000 belt components, including transverse roller and dual-stacked left-angled roller belting

LOT 999 AND LOTS 1200–1242: BUYERS MUST PROVIDE THEIR OWN RIGGING AND LOADING EQUIPMENT AND LABOR TO RIG AND REMOVE THESE PURCHASES. BUYERS ARE RESPONSIBLE FOR ALL REQUIRED DISMANTLING, LOADING AND REMOVAL.

Auction staff will assist with loading Lots 1000–1250 only. Forklifts will be on site to assist with loading Lots 1000–1242 only. Any available staff or forklift assistance does not replace the buyer’s requirement to provide equipment and labor for Lot 999 and Lots 1200–1242. Buyers should plan their rigging, equipment and transportation before bidding.

LOAD-OUT & REMOVAL

Load-out dates: Thursday and Friday, October 22–23, and Monday through Friday, October 26–30
Load-out hours: 9:00 a.m. to 5:00 p.m. daily

All purchases must be paid for and removed no later than Friday, October 30, 2026. The property has been sold, and the new owners take possession on November 1. Wooley Auctioneers will lose access to the property after the removal period. Any unpaid or unremoved property remaining after the deadline will be considered abandoned.

TERMS & CONDITIONS

S&H SYSTEMS, INC. CHAPTER 7 BANKRUPTCY ASSET LIQUIDATION – PHASE II

By registering to bid, placing a bid, or otherwise participating in this auction, each bidder acknowledges that they have read, understand, and agree to be bound by these Terms and Conditions.

IMPORTANT BANKRUPTCY NOTICE

This auction is being conducted in connection with the Chapter 7 bankruptcy proceedings of S&H Systems, Inc., Case No. 3:26-bk-10365J, in the United States Bankruptcy Court for the Eastern District of Arkansas, Northern Division.

All bids and sales are subject to approval by the Chapter 7 Trustee and any additional approvals required by the Bankruptcy Court or applicable law. The highest bid constitutes an irrevocable offer to purchase, but does not create a binding sale until all required approvals are obtained.

1. AUCTION FORMAT

This is an online-only auction conducted by Wooley Auctioneers, Inc. Bidding opens Wednesday, October 7, 2026, and begins closing Wednesday, October 21, 2026, at 10:00 a.m. Central Time.

The auction uses a staggered closing format with automatic bidding extensions (“soft close”). A lot receiving a bid within the final minute will automatically extend until competitive bidding has ceased.

Wooley Auctioneers reserves the right to modify, suspend, postpone, extend, divide, combine, withdraw, or cancel any lot or portion of the auction as permitted by the sale procedures and applicable approvals.

2. BUYER’S PREMIUM

A 15% buyer’s premium will be added to the final high bid on each lot.

Example:

  • Final bid: $100.00
  • Buyer’s premium: $15.00
  • Total before applicable taxes: $115.00

3. BANKRUPTCY SALE APPROVAL

All bids and sales are subject to approval by the Chapter 7 Trustee and any other approvals required under the Bankruptcy Code, Bankruptcy Court orders, or applicable law.

The Seller, Chapter 7 Trustee, Bankruptcy Estate, and Auctioneer reserve the right to accept or reject bids, approve or reject sales, remove assets from the auction, resolve ownership or title issues, and modify sale procedures as necessary to comply with Bankruptcy Court requirements.

If a sale does not receive required approval, the Buyer’s sole remedy will be the return of funds actually paid. The Seller, Trustee, Bankruptcy Estate, and Auctioneer will have no additional liability.

4. PAYMENT TERMS

Payment in full is required before any property may be removed. Payment must be made promptly after the auction and before pickup.

Accepted payment methods include:

  • Cash
  • Wire transfer
  • Cashier’s check
  • Company check, subject to prior approval
  • Credit card for smaller invoices, at the Auctioneer’s discretion
  • Other payment methods approved by the Auctioneer

All onsite payments must be made at 5904 Krueger Drive, Jonesboro, Arkansas 72401.

No property may be removed until payment has been received, verified, and cleared.

6. PREVIEW AND INSPECTION

Additional inspections may be arranged only with prior approval from the Auctioneer.

Bidders are strongly encouraged to inspect all property before bidding. Descriptions, photographs, inventory lists, dimensions, specifications, and other information are provided as a convenience and are not guaranteed. Failure to inspect does not relieve the Buyer of responsibility.

7. PROPERTY SOLD “AS IS, WHERE IS”

All property is sold strictly AS IS, WHERE IS, WITH ALL FAULTS.

No warranties or guarantees of any kind are made by the Seller, Chapter 7 Trustee, Bankruptcy Estate, property owner, or Auctioneer, including warranties of merchantability, fitness for a particular purpose, condition, capacity, performance, completeness, suitability, or compliance with laws or regulations.

Buyers rely solely on their own inspections and investigations.

8. EQUIPMENT DESCRIPTIONS AND QUANTITIES

Descriptions are general summaries and are believed to be accurate but are not guaranteed. Quantities, model numbers, serial numbers, dimensions, capacities, specifications, inventory counts, photographs, and equipment configurations may vary.

Some lots consist of grouped inventory, palletized or crated items, spare parts, or miscellaneous equipment. Buyers are responsible for determining the actual contents and suitability of each lot through their own inspection.

No sale will be invalidated due to omissions, typographical errors, or inaccuracies in a description.

9. NO REFUNDS OR RETURNS

All sales are final. No refunds, exchanges, credits, adjustments, chargebacks, or cancellations will be permitted.

10. BIDDER RESPONSIBILITY

By placing a bid, each bidder represents that they have reviewed the available information, performed their own due diligence, inspected the property or voluntarily waived inspection, determined the assets’ suitability, and have the financial ability to complete the purchase.

All bids are binding and irrevocable, subject to required bankruptcy sale approval.

11. DEFAULT

If a Buyer fails to pay, remove property, comply with these Terms and Conditions, or otherwise defaults, the Auctioneer may cancel the sale, retain deposits or funds received, resell the property, recover damages and collection costs, and suspend or revoke the Buyer’s bidding privileges.

The Buyer may remain liable for any deficiency resulting from resale, as permitted by law.

12. REMOVAL SCHEDULE AND DEADLINE

Load-out will be available on:

  • Thursday and Friday, October 22–23, 2026
  • Monday through Friday, October 26–30, 2026

Load-out hours: 9:00 a.m. to 5:00 p.m. daily

ALL PURCHASED PROPERTY MUST BE REMOVED NO LATER THAN FRIDAY, OCTOBER 30, 2026. The real estate has been sold, and the new owners take possession on November 1, 2026. Wooley Auctioneers will lose access to the property after the removal period. No extensions or access after the deadline will be available.

13. SPECIAL LOADING AND RIGGING REQUIREMENTS

LOT 999 AND LOTS 1200–1242: BUYERS MUST PROVIDE THEIR OWN RIGGING AND LOADING EQUIPMENT AND LABOR TO RIG AND REMOVE THESE PURCHASES. BUYERS ARE RESPONSIBLE FOR ALL REQUIRED DISMANTLING, LOADING, TRANSPORTATION, AND REMOVAL.

Auction staff will assist with loading Lots 1000–1250 only. Forklifts will be on site to assist with loading Lots 1000–1242 only.

The requirement for buyers to provide their own equipment and labor for Lot 999 and Lots 1200–1242 remains in effect even where onsite forklift or staff assistance is available. No rigging, dismantling, or removal service is provided for Lot 999.

For all purchases, Buyers are responsible for providing the labor, supervision, and equipment needed to remove their property. This includes transportation, freight, rigging, dismantling, packaging, loading, tools, insurance, permits, safety and environmental compliance, protecting remaining assets, and cleanup of the removal area. Buyers should not rely on the Auctioneer for loading assistance, labor, equipment availability, or loading times beyond the assistance specifically stated above.

14. DAMAGE TO PROPERTY AND REMOVAL RESTRICTIONS

The Buyer is responsible for any damage caused during inspection, dismantling, loading, transportation, or removal. Any damage must be repaired at the Buyer’s expense to the satisfaction of the property owner.

Buyers may not remove conduit, wiring, structural steel, anchoring systems, piping, building improvements, or other property unless specifically included in the purchased lot.

The Auctioneer may require proof of insurance before removal. Failure to provide requested documentation may delay removal.

15. UNPAID OR UNREMOVED PROPERTY

Any purchased property that remains unpaid or has not been removed by the October 30, 2026 deadline will be considered abandoned. The Seller and Auctioneer may dispose of abandoned property without notice. No refund will be issued for abandoned property.

16. TITLE AND RELEASE OF PROPERTY

Title will not pass until payment in full has been received and approved. The Auctioneer may withhold release of property until all financial obligations have been satisfied.

17. BID DISPUTES

The Auctioneer has sole discretion in resolving bidding disputes. The Auctioneer’s records will be final and conclusive. The Auctioneer reserves the right to reopen bidding, reject or cancel bids, or determine the successful bidder, subject to required sale approvals.

18. EXPORT AND INTERNATIONAL BUYERS

International buyers are responsible for all export documentation, customs requirements, freight forwarding, shipping arrangements, taxes, duties, and compliance with applicable laws and regulations. The Auctioneer may cooperate with a Buyer’s designated freight forwarder but assumes no responsibility for export documentation or international transportation.

19. LIMITATION OF LIABILITY

Wooley Auctioneers acts solely as agent for the Seller. To the extent permitted by law, the Seller, Chapter 7 Trustee, Bankruptcy Estate, property owner, site operator, and Auctioneer will not be liable for lost profits, business interruption, consequential, incidental, special, or indirect damages. Any liability will not exceed the Buyer’s premium actually paid on the disputed lot.

20. GOVERNING LAW AND ACCEPTANCE

These Terms and Conditions are governed by the laws of the State of Arkansas. Any legal action arising from this auction must be brought in a court of competent jurisdiction in Pulaski County, Arkansas.

Registration, bidding, or participation in this auction constitutes acceptance of these Terms and Conditions. No exception or extension is effective unless approved in writing by Wooley Auctioneers, Inc.
