By registering and placing a bid, Bidder acknowledges that they have read, understand, and agree to be bound by these Terms & Conditions.

AUCTION FORMAT

This is an online-only auction conducted by Wooley Auctioneers, Inc. All bidding will take place via the Wooley Auctioneers online bidding platform.

ALL OFFERS ARE SUBJECT TO SELLER CONFIRMATION.
The Seller reserves the right, in their sole discretion, to accept or reject the highest bid or any bid, and to negotiate with the high bidder following the auction.

BUYER’S PREMIUM

A Ten Percent (10%) Buyer’s Premium will be added to the final high bid to determine the total contract purchase price.

TERMS ON REAL ESTATE

  • Upon Seller acceptance of the highest bid, the successful bidder will be required to execute a Real Estate Purchase Agreement and provide an earnest money deposit equal to 20% of the total contract purchase price.
  • Earnest money shall be paid immediately following Seller acceptance in the form of a cashier’s check or wire transfer as directed by Wooley Auctioneers.
  • Earnest money is non-refundable except in the event Seller cannot convey marketable title.
  • The balance of the purchase price shall be due at closing, on or before 30 days following Seller acceptance.

DEED, TITLE & CLOSING

  • Seller shall convey the property by General Warranty Deed.
  • Title insurance will be provided at closing.
  • Closing shall be conducted by a title company selected by the Seller unless otherwise agreed.
  • Buyer and Seller shall each pay their customary portion of closing costs.
  • Real estate taxes shall be prorated to the date of closing.

BUYER DUE DILIGENCE / ZONING & USE

  • Buyer is solely responsible for conducting all due diligence prior to bidding, including but not limited to:
    • Zoning classification
    • Permitted uses
    • Utilities
    • Access
    • Development restrictions
    • Environmental conditions
    • Survey matters
  • No due diligence contingencies will be permitted after Seller acceptance.
  • Buyer acknowledges that neither the Seller nor Wooley Auctioneers has made any representations or guarantees regarding zoning, use, development potential, or suitability for any particular purpose.

AS-IS / WHERE-IS SALE

  • Property is sold AS-IS, WHERE-IS, with all faults, known or unknown.
  • Buyer is not relying on any oral or written statements, advertising, marketing materials, or representations made by the Seller or Wooley Auctioneers.
